1. Scope of Services

Brandzivio is an individual software service provider offering the following digital services:

• Website Development (Business Websites, Corporate Websites, Landing Pages)
• Ecommerce Development
• Food & Grocery Platform Development
• Subscription-Based Grocery Platform
• Logistics Management Software
• Custom Web Application Development
• Domain Registration and Domain Renewal
• Web Hosting and Reseller Hosting
• Website Maintenance Services

All services are digital in nature. No physical products are shipped as part of any service.

2. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information required for the project
• Review and provide feedback within agreed timelines
• Provide necessary content (text, images, logos) in a timely manner
• Make payments as per the agreed schedule
• Comply with all applicable laws regarding your website content and business
• Not use our services for any illegal or unauthorized purpose

3. Payments and Billing

All payments are processed securely through our payment gateway. The following terms apply:

• Payment terms are agreed upon before project commencement and specified in the project proposal or invoice
• A deposit or advance payment may be required to begin work
• Final payment is due upon completion or as per agreed milestones
• Domain registration and hosting fees are charged separately and are non-refundable once activated
• All prices are in Indian Rupees (INR) unless otherwise specified
• Invoices are provided for all payments

4. Project Timelines

Project timelines are estimated and agreed upon during the planning phase. Timelines may be affected by:

• Delays in client feedback or content delivery
• Changes in project scope or requirements
• Unforeseen technical challenges
• Third-party dependencies

We will communicate any changes to timelines promptly and work with you to adjust expectations accordingly.

5. Ownership and Intellectual Property

Upon full payment for the project:

• The client receives full ownership of the custom code, design, and content created specifically for their project
• Brandzivio retains the right to display completed projects in its portfolio and promotional materials
• Third-party assets (fonts, frameworks, plugins) remain under their respective licenses
• Any proprietary code, frameworks, or tools owned by Brandzivio prior to the project remain our intellectual property

6. Hosting Terms

Our web hosting services are provided on a reseller hosting infrastructure. The following terms apply:

• Hosting plans are billed on a recurring basis (monthly or yearly) as agreed
• Service activation occurs after payment confirmation and account setup
• We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
• Clients are responsible for maintaining backups of their website data
• Usage of hosting services must comply with our acceptable use policy
• We reserve the right to suspend services for violation of terms or non-payment

7. Domain Registration Terms

Domain registration services are provided as a facilitator. The following applies:

• Domain availability is subject to the registry and cannot be guaranteed until successfully registered
• Domain registrations are non-refundable once successfully processed
• Domain renewal is the responsibility of the client; we send renewal reminders but do not guarantee delivery
• Clients must provide accurate registrant information as required by ICANN and the respective registry

8. Termination

Either party may terminate a project agreement under the following conditions:

• By mutual written agreement
• If either party breaches material terms and fails to remedy within a reasonable period
• Upon completion of the project scope and delivery of final assets

Upon termination, the client shall pay for all work completed up to the date of termination.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Brandzivio shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim
• We are not responsible for any loss of data, revenue, or business opportunity resulting from service use or downtime
• We do not warrant that our services will be uninterrupted or error-free

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our services after any changes constitutes acceptance of the modified terms.
